1.1 Semper Leads engineers and deploys the Always-On Lead Stack—a tactical ecosystem of funnels, AI agents, and CRM configurations designed for military-grade precision.
2.1 The 48-Hour Protocol: Client must provide all brand assets and technical access within 48 hours of the briefing. Failure to do so results in a day-for-day delay of the 14-day launch.
2.2 Implementation Commitment: Due to the immediate allocation of engineering labor for project builds, setup fees are non-refundable once the briefing is complete.
3.1 Proprietary Logic: All automated workflows, AI prompts, and funnel architectures remain the exclusive Intellectual Property of Semper Leads.
3.2 Limited License: Client is granted a revocable license to use these assets during active management. Extraction or "cloning" of these systems into external accounts is a material breach of contract.
4.1 Ad Spend Liability: Semper Leads is not responsible for platform ad spend (Meta, Google, LinkedIn, etc.). All ad spend is paid directly by the Client.
4.2 Mandatory Termination: Upon service termination, the Client is solely responsible for manually disabling ad campaigns within the respective platforms to avoid further charges.
5.1 No Income Guarantee: We provide the infrastructure; the Client provides the sales execution. We are not liable for business losses, third-party AI "hallucinations", or platform account suspensions.
5.2 Jurisdiction: This Agreement is governed by the laws of the State of California. Disputes shall be resolved via binding arbitration in Riverside County, CA.
